Our Terms And Conditions
1.) Conditions of access
1.1.) Being a member of TWH online platform ("this site, which is www.1twh.co.za ") is subject to the terms and conditions of use as set out below. It is important that the member reads and understands these terms and conditions associated with being a member. Failure to adhere to our terms and conditions will result in a termination of membership. Serious offences and fraudulent practices will be reported to the authorities.
2.1.) These member terms and conditions become effective when a new member registers for the first time and constitute a binding agreement between TWH Pty Ltd, Registration number 2015/233562/07 and the member over the next 5 years.
3.1.) All new members are expected to register by paying a once-off registration fee of R149 into the Bank Account of TWH Pty Ltd. Our banking details are as follow: True Wealth Harvest; FNB Cheque Account Nr 6255 5104 258; Branch Code: 250 655. Use your unique systems generated membership number as reference. Registration fees are non-refundable.
3.2.) IMPORTANT NOTICE: Membership to the TWH platform (this website) is only available to persons that reside in, or are nationals of, or are incorporated under the laws, of the Republic of South Africa ("RSA") collectively referred to as "RSA" nationals.
3.3.) All information regarding the product and services including information in respect of the terms and conditions or any other matters, is subject to change without notice.
4.) TWH’s responsibility towards you is as following:
4.1.) 'Cell Captives’ For Insurance And Related Products. TWH will be:
4.1.1.) Ring-fencing you with other members who are interested in forming a ‘cell captive’ for insurance and related products and services.
4.1.2.) Keeping track of new member registrations. Once demand is high enough (around 25 000 members), TWH will confirm whether you (and other members) are indeed interested and committed to being registered and organized into a ‘cell captive’ with a reputable insurance underwriter.
4.1.3.) Coordinating the migration of members from their current insurer to the ‘cell captive’. This process will be as automated as possible to minimise effort and extra costs to members. If there are costs associated with such a migration, then these will be equitably split amongst members. As a goal, the costs should never exceed R50 per member.
4.1.4.) Providing structured monthly (or as the need arises) communication to inform members of the performance of the cell captive. It is important to note that TWH is not a Financial Service Provider (FSP) and makes no claims to be one.
4.2.) Collaborative Community Savings/Investment Scheme/Club. TWH will be:
4.2.1.) Signing up members who are interested in forming a co-operative savings/investment scheme in their community (suburb, town).
4.2.2.) Facilitating a kick-off session for the 1st 100 registered members in a community (suburb, town) to start a co-operative savings/investment scheme/club in their community. TWH will try to organise the kick-off session at a time and venue that will suit members. TWH will also try to secure a venue (such as schools or community centres) at no or very little cost to members.
4.2.3.) Monitoring and reporting to members on the progress of forming the scheme/club. Once the scheme/club is formed members will have access to an exclusive member’s online portal. It is here that the club/scheme’s information, contact details of the chairperson, banking details etc. will be published and hosted at no extra cost for all existing and prospective members.
4.2.4.) Providing an online private portal for members in a community to explore/discuss investment ideas, and track their savings/investments on their portal. The onus will be on the chairperson/secretary of the scheme/club to communicate frequently with members.
4.2.5.) Connecting different savings/investment clubs in the same regions or areas to take advantage of ‘economies of scale’ and partner to create mega-clubs if they are interested. It is important to note that clubs that don’t want to participate/collaborate with others will not be penalised.
4.2.6.) Providing ongoing support and advisory to club/scheme members over the 5 year period.
4.3.) Longer Term Projects to Redefine The SA Economic Landscape. TWH will:
4.3.1.) Sign-up and keep a database of members who are interested in creating a new economic landscape based on equitable ownership of basic products and services.
4.3.2.) Commission feasibility studies to investigate the implications of starting new national ventures (vehicle insurance, medical aid schemes, banking, agro processing, etc.). TWH will be contributing 20% of the costs to do this type of research and members will be asked to equitably cover the balance. As a goal, the costs should never exceed R100 per member to do the research and members will be required to pay such an amount within 30 days of it being requested so as not to delay the research process.
4.3.3.) Share results with members for decision making. Once demand is high enough (between 10 000 to 100 000 members), TWH will initiate and facilitate the process of starting these national ventures. The key is equitable ownership and transparency so that the mistakes of the past are not repeated. This means that if R10 000 000 is required for an Insurance company start-up, then each of the 10 000 members will be limited to an initial investment of R1 000 each. Similarly, if there are 1 000 000 members signed up and interested in starting a National Bank, and if the capitalisation requirements are R 1 billion, then each member would have to contribute R 1 000.
4.3.4.) Provide regular structured communication to inform members of the progress of 4.3.1 – 4.3.3.
4.3.5.) Recommend that members must not only contribute towards starting these new national ventures, but must also commit to support these ventures once they are created to ensure a readily available customer base. In the case of vehicle insurance, this means that members must support the new National Insurance Company (NIC) by insuring his/her vehicle with the NIC
4.4.) Ongoing Education, Awareness and Training. TWH will:
4.4.1.) Issue its members a monthly and quarterly online publication on true wealth creation. The content will be highly informative and packed with relevant strategies and opportunities for individual and collective wealth creation. The publication will also contain business opportunities for collaborative investments and profits.
4.4.2) Depending on demand, host seminars and conferences for members to benefit and network locally, provincially and nationally. These seminars/conferences will be at minimal cost to members.
5.) Amendments to these conditions.
5.1) TWH may amend these conditions from time to time by notifying members via email. By subscribing to the site the members are bound to the version of the terms and conditions published at the time of their registration on this site. Members agree to view the current version each time they visit the site.
5.2) The current version of these conditions will govern the respective rights and obligations of TWH and the member each time the member accesses this site.
6.) TWH's Commitment to Customer Privacy.
6.1.) TWH Pty Ltd, Registration Number 2015/233562/07 ("TWH"), is committed to maintaining the privacy and security of its customers' personal and private information ("customer information") submitted to TWH via the www.1twh.co.za website ("the/this website"). This privacy and security policy outlines TWH's practices and commitment to the customer or member in this regard.
7) Intellectual Property Rights.
7.1) This site (“online platform”) contains copyright and other intellectual property including logos and other graphics and multimedia works belonging to TWH.
7.2) Members are authorised to view and download one copy to a local hard drive or disk, print and make copies of such printouts, provided that:
7.2.1) The material is used for considering use of the TWH online platform services and for no other commercial purposes.
7.2.2) Any reproduction of our proprietary material from this site or portion of it, must include TWH's copyright notice in its entirety.
7.2.3) The logos and trademarks shown on this site are TWH's registered and unregistered trademarks, or that of third parties.
7.3) Nothing on this site should be construed as granting any licence or right to use any trademark without TWH's prior written permission and/or that of third parties, as the case may be. TWH members may not, without TWH's prior written consent, use TWH's intellectual property or that of third parties for any purposes whatsoever.
8) Sending of information.
8.1) Information transmitted through an unsecured link over the Internet, including e-mail, is subject to potential unlawful access or monitoring.
8.2) TWH members accept that TWH cannot be held liable for any loss, or damage suffered by the member as a result of unlawful activities by unscrupulous persons, as TWH cannot prevent such behaviour.
9.) Warranties and representations.
9.1.) All the information appearing on this site is provided without a representation or warranty whatsoever, whether expressed or implied, and TWH disclaims any liability to the member in this regard.
9.2.) TWH makes no representations or warranties regarding the accuracy, functionality, fitness for purpose or non-infringement in connection with this site and disclaims all liability in this regard.
9.3.) TWH does not warrant that the site, online services or portals will be error-free.
10.) Disclaimer and limitation of liability.
10.1.) Member’s use of this site and the online services is entirely at the member's own risk. The member assumes full responsibility for the risk or loss resulting from the use of this site and the member's reliance on information contained on it.
10.2.) In no event will TWH be liable for any damages, whether direct, indirect, special, incidental, or consequential whatsoever relating to the member's use of this site or the online services or the information contained on this site or the member's inability to use this site or the online services, whether such damages arose out of contract, or derelict or otherwise and regardless of whether TWH was expressly advised of the possibility of such loss or damage.
10.3:) Without derogating from the generality of the above, and to the extend legally permitted, TWH will not be liable for.
10.3.1) Any interruption, malfunction, downtime, off-line situation or other failure of the site or online services, TWH's system, databases or any of its components, beyond TWH's reasonable control.
10.3.2) Any loss or damage with regard to the members data or other data directly or indirectly caused by malfunction of TWH's system, third party systems, power failures, unlawful access to or theft of data, computer viruses or destructive code on TWH's system or third party systems; programming defects.
10.3.3) Any interruption, malfunction, downtime or other failure of goods or services provided by third parties, including, without limitation, third party systems such as the public switched telecommunication service providers; internet service providers, electricity suppliers, local authorities and certification authorities; or any event over which we have no direct control.
11.) Capacity to enter into agreements.
11.1.) The member hereby warrants to TWH that the member has the required legal capacity to enter into and be bound by these terms and conditions.
11.2.) Minors (under 18’s) may not become members of the TWH.
12.) Member's Liability to TWH.
12.1.) The member shall be liable to TWH for any liabilities, losses or expenses incurred by TWH as a result of any breach by the member of these terms and conditions.
13.) Termination, suspension and limitation.
13.1.) TWH may:
13.1.1.) Set limits or conditions on the right to certain services, features or functions on this site.
13.1.2) Restrict access to parts of or all of the services on the site; and.
13.1.3) Modify, suspend or discontinue this site, whether temporarily or permanently, without notice.
14.) Member Communications
14.1.) The member acknowledges that TWH will use e-mail and notices on this site, as TWH's main communication tool for all communications relating to the consumer movement, or these terms and conditions.
14.2.) An e-mail message will be deemed to be sent:
14.2.1.) By the member, at the time at which TWH are capable of accessing such message.
14.2.2.) By TWH, at the time shown on the message as having been sent, or if not so shown, at the time shown on TWH's computer system as having been sent.
14.2.3.) An e-mail message is deemed to be received:
14.2.4.) By the member once it becomes capable of being retrieved by the member.
14.2.5.) By TWH , once TWH have confirmed receipt thereof to the member, or responded thereto, whichever is the earlier.
14.3.) A message shall be attributed:
14.3.1.) To the member, if it purports to have originated from the member, irrespective of the fact that someone else may have impersonated the member or whether the message sent to TWH resulted from an error or malfunction in the communication system.
14.3.2.) To TWH, if it has been sent by a duly authorised representative and such representative acted within the scope of such authority or by an automated system programmed by TWH and such system operated without error or malfunction.
14.3.3.) Unless otherwise provided for in these terms and conditions and subject to clause (by TWH, once TWH have confirmed receipt thereof to the member, or responded thereto, whichever is the earlier) confirmation of receipt of your message is required to give legal effect to such message.
15.) Applicable law and jurisdiction.
15.1.) The terms and conditions pertaining to any products or services appearing on this site or pages shall be governed and interpreted in accordance with the laws of the Republic of South Africa and application for any of the products or services offered on this site or pages will constitute the members consent and submission to the jurisdiction of the South African courts regarding all proceedings, transactions, applications or the like instituted by either party against the other, arising from any of the terms and conditions pertaining to this site or such products or services.
16.) General provisions.
16.1.) The headings of the clauses in the conditions is provided for convenience and ease of reference only and will not be used to interpret, modify or amplify the terms of the conditions.
16.2.) Where any dates or times need to be calculated in terms of the conditions, the international standard time: GMT plus two hours shall be used.
16.3.) No failure or delay by TWH to exercise any of TWH rights will be construed as a waiver of any such right, whether this is done expressly or implied, nor will it affect the validity of any part these terms and conditions or prejudice our right to take subsequent action against the member.
16.4.) If any of these terms and conditions is held to be invalid, unlawful or unenforceable, the term or condition will be deleted from the remaining terms and conditions which will continue to be valid to the full extent permitted by law.
